SOFTWARE TRIAL LICENSE AGREEMENT UNITED STATES 20071115 IMPORTANT NOTICE: Read this License Agreement ("Agreement") carefully before using the enclosed Program. You may Use the Program acquired in the United States only, and only in accordance with the following terms and conditions. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT USE THE PROGRAM. By downloading, installing, or using the Program in any way, You acknowledge that You have read, understand and agree to the terms of this Agreement. The purpose of this Agreement is for You to evaluate the object code of the enclosed software program ("Program") for 30 days. Sybase, Inc. ("Sybase") grants You a non-exclusive, non-transferable license to use the Programs and associated documentation solely for internal trial and evaluation purposes. If You do not elect to license the Programs from Sybase within such 30 day period, this license shall expire and You shall immediately cease use of the Programs, and delete or destroy all copies of the Programs in any form. This Agreement does not obligate Sybase to provide You with any maintenance services or any updates or new versions of the Programs. Any updates or new versions provided by Sybase shall be subject to the terms of this Agreement. 2. LICENSE RESTRICTIONS. Programs shall not be transferred to another location, or transferred, assigned, sublicensed, distributed, rented, leased, or otherwise conveyed to another party. You shall not copy the Programs, except as reasonably necessary for installation of the Programs and inactive back-up and archival purposes during the trial period. You may not modify, adapt, reverse engineer, decompile or disassemble the Programs (except solely to the extent applicable laws specifically prohibit such restriction). You shall not use the Programs for timesharing or rental, or in a service bureau, or otherwise allow direct or indirect use (including over the internet) of the Program by any third party. You agree to not remove from, or obliterate or alter, any copyright or proprietary notices on, the Programs, and to reproduce such notices on all full or partial copies of the Programs. Results of benchmark or other performance tests run on the Programs may not be disclosed to any third party without Sybase's prior written consent. 3. FREE DOWNLOAD COMPONENTS. You understand and agree that the Program may include certain third party open source and other free download components ("Free Download Components"). You may have additional rights in the Free Download Components that are provided by the third party licensors of those components. The Free Download Components and any such third party licenses and third party-required notices for the Program are identified at http://www.sybase.com/thirdpartylegal. Any obligations undertaken by Sybase in the Agreement relating to the Free Download Components as part of the Program are provided by Sybase alone, and not by the third party licensors of the Free Download Components. 4. COPYRIGHT AND OWNERSHIP. The Programs, associated documentation and all copies (in whole or in part) shall remain the exclusive property of Sybase or its suppliers, and are protected by international treaty provisions and copyright and/or trade secret law. You shall have no right, title or interest in the Programs except as expressly set forth in this Agreement. You agree that You will protect the Programs and will take all steps reasonably necessary to prevent the disclosure of the Programs to any other person, firm or corporation. This paragraph shall survive expiration of this Agreement. The Programs are restricted commercial computer software. If this license is acquired under a U.S. Government contract, use, duplication or disclosure by the U.S. Government is subject to restrictions set forth in this Agreement or in a written license agreement which incorporates applicable FAR provisions, for example FAR subparagraphs 52.227-19. Sybase reserves all unpublished rights under U.S. copyright laws. 5. WARRANTY DISCLAIMER. The Programs are provided AS IS, without any warranty whatsoever. SYBASE DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. YOU AGREE THAT THE PROGRAMS PROVIDED HEREUNDER ARE PROVIDED FOR EVALUATION PURPOSES ONLY AND NEITHER SYBASE, ITS SUBSIDIARIES NOR ANY OF ITS SUPPLIERS SHALL BE LIABLE FOR ANY LOSS OR DAMAGE HEREUNDER, INCLUDING, WITHOUT LIMITATION, ANY INACCURACY OF DATA, LOSS OF PROFITS OR DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 6. EXPORT. You shall not transfer, directly or indirectly, any restricted Program or technical data received from Sybase or its subsidiaries, or the direct product of such data, to any destination or entity subject to export restrictions under U.S. law, unless prior written authorization is obtained from the appropriate U.S. agency. 7. GENERAL. Sections 2, 3, 4, 5 and 7 shall survive any termination of this Agreement. Neither this Agreement nor any license hereunder may be assigned (whether by operation of law or otherwise) by You without Sybase's prior written consent. All notices relating to this Agreement shall be in writing and delivered by overnight delivery service or first class prepaid mail with return receipt requested, to the address of such party specified above (in the case of Sybase to the attention of its General Counsel) or to the address specified by such party in accordance with this Section. If any provision of this Agreement is held to be unenforceable, the parties shall substitute for the affected provision an enforceable provision which approximates the intent of the affected provision. The failure or delay by either party to enforce any term of this Agreement shall not be deemed a waiver of such term. THIS AGREEMENT CONSTITUTES THE ENTIRE AGREEMENT BETWEEN THE PARTIES WITH RESPECT TO THE SUBJECT MATTER HEREOF AND SHALL BE CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA.
